1. Introduction

Welcome to Digicounted. These Terms of Service (“Terms”) govern your access to and use of our website, platform, services, and any related tools (collectively, “the Platform”).

By creating an account or using our services, you agree to be bound by these Terms and our associated policies including the Privacy Policy, Refund Policy, and (for resellers) the Affiliate Agreement.

If you do not agree, please do not access or use Digicounted.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract. By using Digicounted, you confirm that all information provided is accurate and complete.

Businesses registering as resellers must provide valid business or tax identification details upon request.

3. Services Overview

Digicounted provides digital marketing and automation tools, training materials, and reseller services that enable users to:

Create and manage marketing campaigns, websites, and chatbots;

Access educational content;

Resell approved services to third-party clients through the affiliate/reseller program.

We may update, modify, or discontinue parts of the Platform at any time to improve performance or comply with legal requirements.

4. Account Registration

To use the Platform, you must create an account with accurate contact and payment details. You are responsible for maintaining the confidentiality of your login credentials.

Any activity under your account will be deemed your responsibility. Digicounted reserves the right to suspend or terminate accounts for fraud, misuse, chargebacks, or regulatory non-compliance.

5. Pricing and Payments

All prices are displayed and billed in GBP (£). Payment processing is handled by trusted third-party partners (e.g., Stripe, Checkout.com, GoCardless). You agree to pay all applicable subscription fees on a recurring basis as displayed at checkout.

5.1 Reseller and Service Plans

Starter Plan: £5/month (basic access, no commissions).

Pro Plan: £40/month (reseller access).

Service Plans: typically £29/month (client-facing services).

5.2 Renewals and Cancellations

Subscriptions renew automatically each billing cycle unless cancelled through your dashboard before the renewal date. All fees are non-refundable once the billing period begins, except as required by law or as defined in our Refund Policy.

6. Commissions and Earnings

Resellers may earn commissions only through genuine subscription transactions and verified service sales, in accordance with the Affiliate Agreement.

Commissions are calculated in GBP and may be subject to currency conversion fees during payout. No commissions are earned on self-purchases or refunded transactions.

Digicounted may adjust commission percentages or payout schedules with reasonable notice (minimum 14 days).

7. Use of Platform

You agree not to:

Engage in spam, deceptive, or misleading marketing;

Misrepresent Digicounted or its services;

Use the Platform for unlawful, fraudulent, or abusive purposes;

Reverse engineer, scrape, or exploit the software in any unauthorised way.

Violation of this section may result in account suspension and forfeiture of unpaid commissions.

8. Intellectual Property

All content, branding, software, and materials on the Platform are owned or licensed by Digicounted LTD. You are granted a limited, non-exclusive licence to access and use the Platform solely for authorised purposes. You may not copy, modify, or distribute our content without written consent.

9. Taxes and Independent Status

Resellers and affiliates operate as independent contractors. You are responsible for your own tax reporting, social contributions, and regulatory obligations in your jurisdiction.

Digicounted does not withhold taxes or act as your employer.

10. Refunds and Chargebacks

Refunds follow the terms outlined in our Refund & Cancellation Policy. Unauthorised chargebacks may lead to account suspension and deduction from future payouts.

Commissions linked to refunded or cancelled transactions are automatically voided.

11. Liability and Disclaimers

The Platform is provided “as is” and “as available” without warranties of any kind. Digicounted shall not be liable for indirect, incidental, or consequential damages, loss of profits, or loss of data arising from the use or inability to use the Platform.

Our total liability shall not exceed the amount you paid in subscription fees during the preceding three (3) months.

12. Termination

Either party may terminate this Agreement at any time.

Upon termination, your access to the Platform and any unpaid commissions will cease, except for verified commissions earned prior to the termination date.

Digicounted reserves the right to terminate without notice for breaches of these Terms or legal obligations.

13. Data Protection

Your personal data is processed according to our Privacy Policy, which complies with UK GDPR and other applicable data protection laws.
By using Digicounted, you consent to such processing.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of England and Wales.

Any dispute arising under or in connection with these Terms shall first be resolved through mediation in London.
If unresolved, the courts of England and Wales shall have exclusive jurisdiction.

15. Amendments

We may update these Terms from time to time.
Material changes will be communicated via the Platform or by email at least 14 days before they take effect.
Your continued use of the Platform after any changes constitutes acceptance of the revised Terms.
